TERMS OF SERVICE

FUSECORP provides:

• Technology consulting and system integration
• Software design and development
• Cybersecurity solutions
• AI and data analytics
• Creative media and digital experience services Some portions of the Services may require a separate written agreement or Statement of Work (“SOW”). If there is a conflict between these Terms and an SOW, the SOW will take precedence.

By using our Services, you represent that:

• You are at least 18 years old
• You have legal capacity to enter into a binding contract
• You are authorized to act on behalf of your company (if applicable)
• You will comply with all applicable laws and regulations

To access certain features (e.g., the Client Portal), you may need to create an account. You agree to:

• Provide accurate and complete information
• Keep your login credentials confidential
• Notify us immediately of unauthorized access or suspected compromise

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Gain unauthorized access to systems, networks, or data
• Upload malicious code, viruses, or automated scripts
• Reverse-engineer, copy, or resell any part of our software
• Infringe on intellectual property rights of others

You retain ownership of all materials or data you provide to us (“Client Data”). We will :

• Use Client Data only as required to deliver services
• Protect Client Data using administrative, technical, and physical safeguards
• Not disclose Client Data except as required to fulfill services or as required by law
• Both parties agree to maintain strict confidentiality of proprietary information.

Unless otherwise agreed in writing

• Payments are due within 30 days of invoice date
• Late payments may incur interest at 1.5% per month or the maximum allowed by law
• Taxes, duties, or withholdings are the client's responsibility

FUSECORP provides its Services “as is” and “as available.” We make no warranties, express or implied, regarding:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of outputs or analytics
• Compatibility with third-party systems
• Error-free or vulnerability-free operation Users assume all risk associated with the use of our Services.

To the maximum extent permitted by law:

• FUSECORP is not liable for indirect, incidental, special, or consequential damages
• FUSECORP's total cumulative liability shall not exceed the fees paid under the engagement during the 12 monthspreceding the incident These limitations apply even if we have been advised of potential damages.

You agree to indemnify and hold harmless FUSECORP and its affiliates from claims, losses, liabilities, or expenses arising out of:

• Your use or misuse of the Services
• Your breach of these Terms
• Your infringement on third-party rights

Either party may terminate the engagement:

• With written notice if the other party materially breaches these Terms and fails to cure within 30 days
• Immediately if required by law or security concerns

Upon termination:

• Access to the Client Portal may be revoked
• You must pay all outstanding fees

We process personal data according to our Privacy Policy. We implement strong security practices, including:

• AES-256 encryption
• TLS 1.3
• Role-based access control
• SOC 2-aligned measures
